These Terms & Conditions ("Terms") govern participation in the Shiminly Affiliate Program ("Program"). By applying to and joining the Program, you ("Affiliate") agree to the following

The Program enables approved partners to refer customers to Shiminly’s selfpaced life skills programs and earn commissions on qualifying purchases made at courses.shiminly.com.
- Must be at least 18 years old and legally able to enter contracts.
- Open to individuals, educators, schools, consultants, and organizations.
- Shiminly may accept or reject any application at its sole discretion.
- Submit the official Shiminly Affiliate Application Form.
- Upon approval, access the Affiliate Dashboard (LearnWorlds) with your unique referral links, reports, and assets.
- You are responsible for safeguarding credentials and account activity.
- Single Unit (1 of 7): USD $60 + applicable taxes.
- Full 7Unit Life Skills Package: USD $315 + applicable taxes.
Unless expressly stated, subscriptions, institutional licenses, pilots, scholarships, and offline invoices are excluded from affiliate payouts.
- Base commission: 20% of the net sales value of each eligible referral (exclusive of taxes, third-party fees, discounts, credits, chargebacks, and refunds).
Illustrative examples:
- 1 Unit sale at $60 → $12 commission.
- Full 7-Unit Package at $315 → $63 commission.
- No commission is earned on $0 or 100% discounted orders.
- Self-referrals (using your own link or code to purchase) are prohibited.
- Net sales value" means the customer’s paid amount after discounts/coupons are applied and excluding taxes, VAT/GST, duties, and payment processor fees.
- Prices are in USD; if customers pay in another currency, conversion is determined by our processor on the transaction date.
- Cookie duration: 90 days from the referral click.
- Last click attribution: If multiple affiliates refer the same user, the last valid click prior to purchase receives credit.
- Crossdevice and crossbrowser tracking are not guaranteed.
- Trialtopaid: If a user clicks your link and completes purchase within the 60day window, the sale is credited to you.
- Affiliate-specific coupon codes may be issued at Shiminly’s discretion for offline or social promotions.
- Attribution fallback: If a purchase uses your unique coupon code but no valid click is present, Shiminly may credit the sale to you based on the code usage, provided the code is active and assigned to your account.
- Stacking & discounts: Commissions are computed on the net amount after any discounts or coupons. No commission on orders discounted to $0.
- Prohibited code activity:
Publishing private/test codes or expired codes.
Listing codes on coupon sites when restricted by Shiminly.
Self-use or encouraging self-referrals. - Paid search & code use: Do not include Shiminly brand terms or coupon phrasing (e.g., “Shiminly coupon”, “Shiminly promo code”) in paid ad headlines without written approval.
- Hold period: All commissions are subject to a 30day hold to account for refunds/chargebacks.
- Schedule: Approved commissions are paid monthly on Net 30 (e.g., January earnings paid by beginning of March).
- Method: PayPal or bank transfer (provider/transfer fees are the affiliate’s responsibility).
- Minimum payout threshold: $48. Balances below the threshold roll over to the next month.
- Tax forms: We may require tax and identity information (e.g., W9/W8BEN) before remitting payments.
- No commission on refunded, canceled, fraudulent, or disputed transactions.
- Previously paid commissions on such transactions may be debited from future payouts.
- Shiminly may audit and adjust commissions for tracking anomalies or policy breaches.
- Prohibited without prior written approval:
Bidding on Shiminly brand terms (including misspellings) in paid search or shopping ads.
Directlinking paid ads to Shiminly domains.
Use of adware, spyware, coupon injectors, browser toolbars, or forced clicks.
Email spam or unsolicited messages; all email must be permissionbased.
Misleading countdown timers, false scarcity/claims, or impersonating Shiminly. -
Permitted with compliance:
Organic content (blogs, YouTube, social), community posts, and newsletters with proper affiliate disclosure.
Price mentions must be current and truthful; always link to the official product page.
- Affiliates must follow applicable endorsement/advertising laws and platform rules (e.g., FTC, ASA, CAP). Use clear disclosures such as #ad or Affiliate link.
- Do not collect, store, or process minors’ personal data. Send users to official Shiminly pages for signups.
- Do not make claims about accreditation, outcomes, or certifications beyond what Shiminly states publicly.
- You may use only approved logos, banners and other marketing material provided by Shiminly.
- Do not alter logos or recreate course content. All IP remains the property of Shiminly Inc.
- Remove any Shiminly assets upon request or upon termination.
- Accounts with no qualifying activity for 90 consecutive days may be deactivated at Shiminly’s discretion.
- Upon deactivation, unpaid balances below the payout threshold may be forfeited.
- Comply with all applicable laws (e.g., GDPR, CCPA, PDPL, COPPA, FERPA).
- Do not access or request customer personal data from Shiminly.
- Shiminly processes personal data under its Privacy Policy and Cookie Policy.
- Either party may terminate with written notice.
- Shiminly may suspend or terminate immediately for fraud, policy breach, or reputational risk.
- Valid, approved commissions accrued prior to termination will be paid per these Terms.
- Shiminly may update these Terms at any time. Notice may be provided via email or within the Affiliate Dashboard. Continued participation constitutes acceptance.
- Shiminly is not liable for indirect, incidental, special, or consequential damages.
- Maximum aggregate liability is limited to the total commissions paid to you in the preceding three (3) months.
- These Terms are governed by the laws of Delaware, USA. Courts located in Delaware shall have exclusive jurisdiction.
